Welcome to CreativeSpeak, a voice-oriented social networking platform run by KQ CREATIVE SOLUTION PRIVATE LIMITED. By accessing or utilizing our services (referred to as "Services"), you agree to adhere to these Terms of Service (referred to as "Terms"). We advise you to read the following terms thoroughly before using the platform.

1.1 Virtual Items

CreativeSpeak may provide digital coins, virtual gifts, credits, or similar digital items ("Virtual Items") that may be used within the Platform for permitted interactions and features.

Virtual Items are digital units of value provided solely for use within CreativeSpeak. They do not constitute legal tender, electronic money, a bank deposit, security, investment, or any other form of monetary instrument.

1.2 Purchase of Virtual Items

Users may purchase Virtual Items through the payment methods made available on the Platform from time to time. The applicable price, quantity of Virtual Items, taxes, and total amount payable will be displayed to the User before the transaction is completed.

Upon successful confirmation of payment, the purchased Virtual Items may be credited to the User's CreativeSpeak account.

The Company may refuse, cancel, suspend, or delay a transaction where there is a reasonable basis to suspect fraud, unauthorized payment, misuse of the Platform, violation of these Terms, or a technical or payment-processing issue.

1.3 No Cash Value

Virtual Items have no cash value outside the CreativeSpeak Platform. Virtual Items cannot be sold, transferred for cash, exchanged for currency, or redeemed by a User for cash unless expressly permitted by the Company under a separate program or applicable law.

Users must not attempt to sell, trade, broker, or otherwise commercially transfer Virtual Items outside the Platform.

1.4 Use of Virtual Items

Virtual Items may be used only for the features and purposes expressly enabled by CreativeSpeak.

The Company may establish or modify the number of Virtual Items required to access a particular feature or send a particular virtual gift,provided that applicable changes are communicated through the Platform where reasonably practicable.

1.5 Virtual Gifting

Users may use Virtual Items to send digital or virtual gifts to eligible creators, hosts, podcasters, or other users where such functionality is enabled.

A gift transaction is considered completed when the Virtual Gift issuccessfully sent through the Platform. Once successfully delivered, a Virtual Gift generally cannot be cancelled, reversed, transferred back to the sender, or exchanged for cash, except where required by applicable law or where the Company determines that the transaction occurred due to a technical error, unauthorized activity, or another legitimate reason.

1.6 Creator Rewards

Where CreativeSpeak operates a creator or host reward program, the applicable eligibility requirements, reward rates, minimum payout thresholds, verification requirements, payment schedules, taxes, and other conditions may be communicated separately to eligible creators.

Virtual Items purchased by Users do not automatically create a contractual right for any particular creator, host, or podcaster to receive a specific monetary amount. Any creator reward or payout is subject to the applicable creator terms and the Company's verification and compliance procedures.

1.7 Refunds

Payments for Virtual Items are generally non-refundable after the Virtual Items have been credited to or used from a User's account, except:

Ifa User believes that a payment was incorrectly processed or Virtual Items were not credited, the User should contact CreativeSpeak promptly with the transaction reference, date, amount, and relevant account information.

Where a refund is approved, then within 7 working days processed through the original payment method, subject to the processing timelines of the relevant payment provider.

1.8 Chargebacks and Payment Disputes

Users agree to contact CreativeSpeak firstregarding genuine payment or Virtual Item issues before initiating a payment dispute or chargeback, where reasonably possible.

Nothing in these Terms limits a User's statutory rights or the right to dispute an unauthorized transaction with the relevant payment provider.

Where a chargeback is determined to be fraudulent, abusive, or unauthorized, the Company may suspend or restrict the associated account while investigating the matter.

1.9 Expiry and Account Closure

Unless a specific expiry period is expressly displayed at the time of purchase or communicated by CreativeSpeak, purchased Virtual Items will remain available in the User's account subject to these Terms.

Virtual Items may be cancelled or removed where the User's account is terminated for fraud, abuse, unlawful activity, or material violation of these Terms, subject to applicable law.

Ifthe Company introduces an expiry period for Virtual Items, the applicable expiry conditions will be communicated to Users in advance or displayed at the relevant point of purchase, as required by applicable law.

1.10 No Transfer Between Accounts

Virtual Items are associated with the User Account to which they were credited and may not be transferred between User Accounts unless the Platform expressly provides such functionality.

Users are responsible for maintaining the security of their account and must not sell, transfer, or share account credentials for the purpose of transferring or monetizing Virtual Items.

1.11 Promotional or Bonus Coins

CreativeSpeak may provide promotional, bonus, complimentary, or earned Virtual Items from time to time. Such Virtual Items may be subject to additional conditions,

including separate expiry dates, usage restrictions, or limitations on redemption or gifting.

The specific conditions applicable to promotional Virtual Items will be communicated atthe time they are provided.

2. Payment Terms

2.1 Payment Processing

Payments may be processed through third-party payment gateways, banks, card networks, UPI providers, or other authorized payment service providers.

CreativeSpeak does not control the processing timelines, availability, or policies of third-party payment providers.

2.2 Transaction Records

Users should retain their transaction confirmation, invoice, payment reference, or transaction identification number for their records and for resolving any payment- related query.

3. Governing Law and Jurisdiction

3.1 Governing Law

These Terms and the use of the CreativeSpeak Platform shall be governed by and construed in accordance with the laws of India.

3.2 Jurisdiction

Subject to applicable law and any mandatory statutory rights available to a User, any dispute, claim, or proceeding arising out of or relating to these Terms, the Platform, or the Services shall be subject to the jurisdiction of the competent courts having jurisdiction in Delhi, India.

3.3 Dispute Resolution

The Company and the User shall endeavor to resolve any dispute relating to the Platform or Services amicably through good-faith communication before commencing formal legal proceedings, wherever reasonably practicable.

Nothing in this clause shall prevent a User from exercising any non-waivable statutory right or remedy available under applicable law.
